Banke Orimolade

Banke is an accomplished Counsel and Company Secretary with several decades of experience providing legal, corporate governance, company secretarial services, private trust and real estate services.

Banke was Company Secretary/General Counsel at Travant Capital Partners Limited (an alternative investment firm) and was the Head of the Corporate Services team at Ocean & Oil Holdings Limited. She was also Vice President at Asset & Resource Management Company (the holding company of the ARM Group). At ARM., she led the legal and compliance unit and was head of A.RM Trustees, where she had direct responsibility for managing the firm’s private trust business. Before joining A.R.M., she had working stints at Dunlop Nigeria Plc and the Lagos Busines School. Banke also worked with the corporate secretarial team of Bank of Montreal, Canada. 

In these roles, she convened and serviced corporate meetings, implemented compliance systems and provided legal advice. She developed and implemented corporate governance frameworks, director orientation materials and trainings, and director evaluation processes. She has successfully coordinated meetings for regulated subsidiaries of a leading Canadian bank and other companies. Banke provides regulatory compliance advisory services for clients in different industries. Banke has facilitated several trainings on corporate governance and allied themes and provides advisory services to individuals seeking board appointments. She currently serves as an independent member on the investment committees of some listed mutual funds.

Banke has been involved in several financing and commercial transactions including the financing of real estate developments, a toll road development (a Lagos State Private Partnership project), balance sheet restructuring of a listed oil company, divestment of a foreign entity from a listed automobile entity, and legal entity restructuring of a trading conglomerate. 

Banke obtained a Bachelor of Law degree from Obafemi Awolowo University, Ile-Ife and a Master of Law from Kings College, University of London. She is called to both the Nigerian and Ontario Bars and is an associate member of the Institute of Chartered Secretaries and Administrators.

Tayo Kola-Daisi

Tayo is an experienced Counsel and Company Secretary, with demonstrable expertise in corporate governance, company formation and corporate secretarial practice, statutory and regulatory compliance, legal structuring and restructuring, private and commercial trust and real estate. 

She served as Company Secretary and Head of Legal Advisory and Compliance at Asset & Resource Management Company Ltd (the holding company of the ARM Group), and its trustee subsidiary, ARM Trustees for over a decade.  In that role, she was primarily responsible for organizing meetings, maintaining corporate records, advising the board and implementing board decisions across the Group, as well as organizing statutory meetings of the publicly listed collective investment schemes managed by ARM.  As a compliance professional, her hands-on knowledge of day to day corporate, regulatory and compliance requirements was instrumental in a significant management buy-out of the majority shareholder of the company and in other key corporate share transactions.   She was also central to the process of conceptualizing and constituting some collective investment schemes, including the flagship, ARM Discovery Fund, as well as ensuring continuous adherence to compliance obligations under applicable laws and regulatory requirements.

As the primary governance officer, Tayo served as an invaluable contact for the board of directors and the executive management team on several issues including the design and maintenance of a sustainable governance framework.  She was also responsible for preparing the company’s Code of Business Conduct & Ethics.  

In her trusteeship role, Tayo advised high net worth individuals on trust and estate planning portfolios, managing clients’ assets in excess of a billion dollars.  Tayo also has significant experience in structuring capital raising transactions, project finance, infrastructure finance and real estate.  She acted as the lead in-house adviser on the Nigeria’s first Public Private Partnership (PPP) Toll Road Concession of the 49.5km Lekki-Epe road in Lagos State, and has been involved in various real estate projects such as the 15-hectare residential estate Fara Park Estate.

Before joining the ARM Group, Tayo had short stints with F.O. Akinrele & Co and Chapman & Francis LLP. She currently serves in an advisory capacity on Committees of some private companies.

Tayo holds a Bachelor of Law with First Class Honors from the University of Buckingham and a Master of Law from University of Cambridge. Before studying law, Tayo obtained a Bachelor of Arts in Linguistics from the University of Ilorin and was awarded University Scholar, as the best student in her department’s graduating year. Tayo is called to the Nigerian Bar and is a member of the Nigerian Institute of Chartered Arbitrators.
